Item 7.01. Regulation FD Disclosure.
On September 29, 2022, Greenlane Holdings, Inc. (the “Company”) issued a press release related to the closing of the Transaction (as defined below), a copy of which is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
The information furnished herewith pursuant to Item 7.01 of this Current Report on Form 8-K, including Exhibit 99.1, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference into any filing made by the Company under the Exchange Act or the Securities Act of 1933, as amended, except as shall be expressly set forth by specific reference in such a filing.
Item 8.01. Other Events.
On September 22, 2022 (the “Closing Date”), 1095 Broken Sound Pwky LLC (“1095 Broken Sound”), a wholly owned subsidiary of the Company, consummated the previously disclosed transactions contemplated by that certain Purchase and Sale Agreement, dated as of August 16, 2022, by and between 1095 Broken Sound and ASC Capital LLC (the “Purchaser”) whereby 1095 Broken Sound agreed to sell a certain parcel of real estate including the Company’s headquarters building in Boca Raton, Florida, located at 1095 Broken Sound Parkway, Suite 300, Boca Raton, Florida 33487 (the “Property”) to the Purchaser for total consideration of $9.95 million in cash (collectively, the “Transaction”). On the Closing Date, the Company used the proceeds from the Transaction to repay the remainder of the $7.8 million mortgage note on the Property. The remaining proceeds will be used for general corporate purposes.
