Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 20, 2020, Sasha Kadey notified Greenlane Holdings, Inc. (the “Company”) of his intention to resign from his position as Chief Marketing Officer of the Company, effective February 28, 2020. Following the effective date of Mr. Kadey’s resignation, Mr. Kadey will serve as a strategic advisor to the Company for a period of at least six months. Mr. Kadey has been serving as the Company’s Chief Marketing Officer since May 2016.
